Terms of Service

1. Acceptance of Terms
By downloading, installing, or using localWiki ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Software.
You must be at least 16 years of age to use localWiki. By using the Software, you represent that you meet this requirement.
These Terms constitute a legally binding agreement between you ("User," "you") and Nextbyts ("we," "us," "our"), the operator of localWiki.
2. Description of Service
localWiki is a local-first, encrypted desktop application that allows users to:
- Create and manage wiki pages for documentation
- Store and organize secrets, API keys, and credentials in an encrypted vault
- Manage environment variables (project keys) across projects
- Synchronize data between devices via peer-to-peer connections
- Interact with the vault via a command-line interface (CLI)
- Integrate with development tools via the MCP toolkit
The Software operates primarily on your local device. We also provide an optional Sync Relay Service to facilitate peer-to-peer synchronization over the internet. The relay is a pass-through service that does not store your content.
3. License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Software on devices you own or control, for personal or internal business purposes.
Restrictions
You may not:
- Copy, modify, or distribute the Software except as expressly permitted
- Reverse engineer, decompile, or disassemble the Software
- Sublicense, rent, lease, or lend the Software to third parties
- Remove or alter any proprietary notices or labels
- Use the Software to develop a competing product
- Circumvent any license enforcement mechanisms
Reservation of Rights
We reserve all rights not expressly granted in these Terms. The Software is licensed, not sold. We retain ownership of all intellectual property rights in the Software, including source code, design, trademarks, and documentation.
4. License Keys & Subscriptions
- Paid features require a valid license key tied to your account.
- License keys are personal and may not be shared, transferred, or resold.
- We reserve the right to deactivate license keys that violate these Terms.
- Subscriptions renew automatically unless cancelled before the renewal date.
- Free tier: We offer a free tier with limited functionality. We reserve the right to modify free tier features at any time with reasonable notice.
5. Refund Policy
We offer a 14-day refund window from the date of purchase for paid plans. If you are unsatisfied for any reason, contact us within 14 days and we will process a full refund.
After the 14-day window, refunds are at our sole discretion. Refund requests may be submitted to [email protected].
This refund policy complies with the EU Consumer Rights Directive. EU consumers have a statutory 14-day withdrawal right for online purchases.
6. Data Ownership & Sovereignty
You own all content you create in localWiki.
- We claim no ownership rights, intellectual property rights, or license to any content you create, store, or transmit using the Software.
- All user content resides exclusively on hardware you own or control.
- We cannot access your content due to our zero-knowledge encryption architecture.
- You retain full rights to export, copy, and use your content in any way, at any time, regardless of your subscription status.
7. User Responsibilities
You are solely responsible for:
- Master Password: Keeping your Master Password secure and confidential. Due to our zero-knowledge architecture, we cannot recover or reset your Master Password. If you lose it, encrypted data (secrets vault) cannot be recovered.
- Data backup: Creating and maintaining backups of your data. Since data resides on your device, hardware failure or loss without backup will result in permanent data loss. We cannot recover your data.
- Device security: Ensuring the security of the devices on which you install the Software. If your device is compromised, your data may be at risk.
- License keys: Keeping your license key confidential and not sharing it with unauthorized parties.
- Legal compliance: Ensuring that your use of the Software and the content you create complies with all applicable laws and regulations.
- Shared content: When you share pages with peers via P2P, you are responsible for what you share and with whom.
Mandatory Error Reporting
As a condition of using localWiki, the Software transmits anonymous error reports (via Sentry) when crashes or unexpected errors occur. This data includes stack traces, OS version, and app version. It never includes your page content, secret values, or Master Password.
Error reporting is essential for product stability, security patches, and protecting all users. It cannot be disabled. Usage analytics (PostHog) are separate and can be opted out of in Settings.
8. Acceptable Use
You agree not to use localWiki to:
- Store, transmit, or share content that is illegal in your jurisdiction
- Infringe on the intellectual property rights of others
- Attempt to compromise, disrupt, or gain unauthorized access to the relay service or other users' devices
- Conduct automated attacks, scraping, or abuse of our services
- Impersonate any person or entity
- Distribute malware, viruses, or other harmful code
We reserve the right to terminate your access to paid services if you violate this acceptable use policy.
9. Relay Service Terms
- The Sync Relay is a convenience service, not a data storage service. It facilitates encrypted peer-to-peer connections over the internet.
- The relay never stores, inspects, or has access to your content.
- We strive for high availability but do not guarantee 100% uptime. The Software continues to function locally and via LAN sync when the relay is unavailable.
- We may discontinue or modify the relay service with 30 days' advance notice. Your local data and application will continue to function regardless.
- Access to the relay may require a paid subscription.
10. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT WARRANT THAT DEFECTS WILL BE CORRECTED OR THAT THE SOFTWARE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH CASES, OUR WARRANTIES ARE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXTBYTS AND ITS OPERATORS SHALL NOT BE LIABLE FOR:
- LOSS OF DATA STORED ON YOUR DEVICE, WHETHER DUE TO HARDWARE FAILURE, SOFTWARE BUGS, USER ERROR, OR ANY OTHER CAUSE
- INABILITY TO ACCESS ENCRYPTED DATA DUE TO A FORGOTTEN OR LOST MASTER PASSWORD
- UNAUTHORIZED ACCESS TO YOUR DEVICE OR DATA BY THIRD PARTIES
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, OR GOODWILL
- INTERRUPTION OR UNAVAILABILITY OF THE RELAY SERVICE
- DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SOFTWARE
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SOFTWARE OR THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $50 USD, WHICHEVER IS GREATER.
SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
12. Indemnification
You agree to indemnify, defend, and hold harmless Nextbyts and its operators, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Software
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Content you create, store, or share using the Software
- Your infringement of any third party's rights
13. Termination
By Us
We may suspend or terminate your access to paid services (including the relay and license validation) if you materially breach these Terms, after providing notice and a reasonable opportunity to cure (where applicable).
By You
You may terminate at any time by uninstalling the Software and cancelling your subscription (if applicable).
Effect of Termination
- Your data remains yours. All content on your device remains accessible to you. We cannot and do not remotely delete your local data.
- Access to the Sync Relay and license validation services may cease.
- The local application will continue to function in offline mode.
- Sections 6, 10, 11, 12, 15, and 16 survive termination.
14. Modifications to Terms
We may update these Terms from time to time. When we make material changes:
- We will update the "Last updated" date at the top of this page
- We will provide notice via the application or email for significant changes
- Continued use of the Software after changes constitutes acceptance
If you disagree with updated Terms, you may stop using the Software. Your local data remains yours regardless.
15. Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws applicable to the jurisdiction in which Nextbyts operates, without regard to conflict of law principles.
Any disputes arising from these Terms or your use of the Software shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration or the courts of competent jurisdiction.
For EU consumers: nothing in these Terms affects your statutory rights under EU consumer protection law, and you retain the right to bring proceedings in the courts of your country of residence.
16. General Provisions
- Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Nextbyts regarding the Software.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force.
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
- Assignment: You may not assign these Terms. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets.
- Force majeure: We are not liable for delays or failures resulting from circumstances beyond our reasonable control.

Acknowledgement
By downloading and using localWiki, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. You understand that:
- Your data is stored locally and you are responsible for backups
- Your Master Password cannot be recovered if lost
- The Software is provided "as is" without warranty
- You assume the risks inherent in local data storage
